M&A Lawyer

We are seeking a seasoned legal professional to join our HQ team at Zentiva. This role is pivotal in supporting the Group's strategic growth through multijurisdictional acquisitions, integrations, and corporate structuring. You will act as a trusted advisor to senior management, helping to navigate complex legal landscapes and mitigate risks that could impact Zentiva's operations and ambitions.

Key Responsibilities

• Lead and manage legal aspects of cross-border M&A transactions, including due diligence, structuring, negotiation, and execution. 

• Provide end-to-end legal support through closing and post-deal integration, ensuring corporate governance integration, alignment with Zentiva's strategic objectives and compliance across jurisdictions. Provide expert legal counsel to senior management and coordinate support from external legal advisors. 

• Draft, review, and negotiate complex transaction documents and represent the company in dealings with authorities. 

• Develop and implement internal policies and group regulations; deliver training to internal stakeholders. 

• Offer strategic legal advice across various business areas, including development, manufacturing, and supply of medicines. 

• Address additional legal matters based on capacity and expertise.

Qualifications & Experience: 

• Master's degree in Law (Czech, Slovak or other relevant law). 

• Experience with Mergers & Acquisitions (M&A) – minimum 7 years (Bar exams as advantage). 

• Experience of working in or for the pharmaceutical sector as a significant advantage.

• Fluent in English
